The information on the following webpage or other information related to the Sukuk Issuance Programme of the Kingdom of Saudi Arabia, acting through the Ministry of Finance (the “Issuer”) and any sukuk issued thereunder (the “Sukuk” and together, the “Materials”) may not be distributed in jurisdictions, or otherwise in such circumstances, in which such distribution would be unlawful.
The Materials may not be distributed in the Kingdom of Saudi Arabia (the “Kingdom”) except to such persons as are permitted by the rules and regulations issued by the Capital Market Authority of the kingdom of Saudi Arabia (the “CMA”), including Article 6 of the Rules on the Offer of Securities and Continuing Obligations issued by the board of the CMA pursuant to its resolution Number 3-123-2017 dated 09/04/1439H (corresponding to 27 December 2017G) as amended by the resolution of the board of the CMA Number 8-5-2023 dated 25/06/1444H (corresponding to 18 January 2023G).
The Sukuk have not been, and will not be, registered under the U.S. Securities Act of 1933, as amended (the “Securities Act”) or with any securities regulatory authority of any state or other jurisdiction of the United States. The Sukuk may not be offered or sold within the United States or to, or for the account or benefit of, U.S. persons (as defined in Regulation S under the Securities Act (“Regulation S”)) except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act. Accordingly, Sukuk may only be offered and sold to non-U.S. persons in offshore transactions in reliance on Regulation S.
The Materials are not being made available to, and must not be passed on to, the general public in the United Kingdom. The communication of the Materials is only being made to, or directed at: (A) if the distribution of the Sukuk (whether or not such Sukuk are “alternative finance investment bonds” (“AFIBs”)) is being effected by a person who is not an authorised person under the Financial Services and Markets Act 2000 (the “FSMA”), only the following persons: (i) persons who are Investment Professionals as defined in Article 19(5) of the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005 (the “Financial Promotion Order”); (ii) persons falling within any of the categories of persons described in Article 49(2)(a) to (d) of the Financial Promotion Order; and (iii) any other person to whom it may otherwise lawfully be made in accordance with the Financial Promotion Order; and (B) if the Sukuk are not AFIBs and the distribution is effected by a person who is an authorised person under the FSMA, only the following persons: (i) persons falling within one of the categories of Investment Professional as defined in Article 14(5) of the Financial Services and Markets Act 2000 (Promotion of Collective Investment Schemes) (Exemptions) Order 2001 (the “Promotion of CISs Order”); (ii) persons falling within any of the categories of person described in Article 22 (High net worth companies, unincorporated associations, etc.) of the Promotion of CISs Order; and (iii) any other person to whom it may otherwise lawfully be promoted. Persons of any other description in the United Kingdom may not receive and should not act or rely on the Materials.
The Materials are not intended to constitute, shall be treated as constituting or shall be deemed to constitute, any offer or sale of the Sukuk in the State of Qatar (including the Qatar Financial Centre) or the inward marketing or promotion of the Sukuk or an attempt to do business, as a bank, an investment company or otherwise in the State of Qatar (including the Qatar Financial Centre) other than in compliance with any laws applicable in the State of Qatar (including the Qatar Financial Centre) governing the issue, offering, promotion and sale of the Sukuk under the laws of the State of Qatar (including the Qatar Financial Centre).
The Materials and any underlying instruments have not been and will not be filed with, reviewed or approved by the Qatar Central Bank, the Qatar Financial Markets Authority, the Qatar Financial Centre Regulatory Authority, the Qatar Exchange or any other relevant governmental body or securities exchange nor any foreign  
governmental body or securities exchange. The Sukuk has not been authorized or licensed by any Qatari governmental body to market, offer or sell the Sukuk in the State of Qatar (including the Qatar Financial Centre).
The Materials are strictly private and confidential. The Materials are provided on an exclusive basis to the specifically intended recipient of such Materials, upon that person's request and initiative, and for the recipient's personal use only. They are being distributed to a limited number of qualified investors (as intended to be described by the Qatar Financial Markets Authority or the Qatar Financial Centre Regulatory Authority) upon their request and must not be provided to any person other than the original recipient. They are not for general circulation in the State of Qatar (including the Qatar Financial Centre) and may not be reproduced or used for any other purpose. Any distribution of the Materials by the recipient to third parties in the State of Qatar (including the Qatar Financial Centre) beyond the terms of the Materials is not authorised and shall be at the liability of such recipient.
The Materials are not intended to constitute, shall not be treated as constituting and shall not be deemed to constitute, any offer or sale of securities or investment products in the Sultanate of Oman or the inward marketing or promotion of securities or an attempt to do business, as a bank, an investment company or otherwise in the Sultanate of Oman other than in compliance with any laws applicable in the Sultanate of Oman governing the issue, offering, promotion and sale of securities or investment products under the laws of the Sultanate of Oman.
The Materials and any underlying instruments have not been and will not be filed with, reviewed or approved by the Central Bank of Oman, Capital Markets Authority, Consumer Protection Authority, Ministry of Commerce, Industry and Investment Promotion or any other relevant governmental body or securities exchange, nor any foreign governmental body or securities exchange. The Issuer has not been authorised or licensed by any Omani governmental body to market, offer or sell securities in the Sultanate of Oman.
The Materials are strictly private and confidential. The Materials are provided on an exclusive basis to the specifically intended recipient of such Materials, upon that person’s request and initiative, and for the recipient’s personal use only. They are being distributed to a limited number of sophisticated investors upon their request and must not be provided to any person other than the original recipient. They are not for general circulation in the Sultanate of Oman and may not be reproduced or used for any other purpose. Any distribution of the Materials by the recipient to third parties in the Sultanate of Oman beyond the terms of the Materials is not authorised and shall be at the liability of such recipient.
